Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Sequalize Technologies (OPC) Pvt. Ltd. ("Sequalize", "we", "us"), a One Person Company incorporated under the Companies Act, 2013, with its registered office at SF1-B, House of Bom Jesus Society, Old Goa, Goa, India — 403402.

Sequalize operates the platform accessible at sequalize.com, including the web application, Progressive Web App (PWA), and the WhatsApp-based AI agent (collectively, the "Platform").

By registering, accessing, or using the Platform, you confirm you have read, understood, and agree to be bound by these Terms and our Privacy Policy. Sequalize operates as an intermediary as defined under Section 2(1)(w) of the Information Technology Act, 2000, and complies with the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

To register and use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872
• Not be barred from receiving services under any applicable Indian law
• For Vendor accounts: hold all licences, registrations, and permits required for the services you offer (e.g., FSSAI licence for caterers, applicable GST registration, local municipal permits).

Account creation requires a valid Indian mobile phone number, verified via One-Time Password (OTP). You are solely responsible for maintaining the confidentiality of your account access. Notify us immediately at legal@sequalize.com if you suspect any unauthorised access.

Staff Members are invited by Vendors via a unique invite link. By accepting an invite, a Staff Member acknowledges that their task activity and proof of work submissions (including GPS location captured at the time of photo submission) are visible to the Vendor who invited them.

Sequalize may suspend or permanently terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to the Platform.

• Free Access: Individuals, Seekers, and Staff Members access the Platform at no personal cost.
• Vendor Subscription: Vendors must subscribe to a paid plan to access the business management suite. Fees are charged in INR and are subject to GST.
• Auto-renewal: Subscriptions auto-renew unless cancelled at least 7 days before the renewal date.
• Refunds: Subscription fees are non-refundable, except where required by the Consumer Protection Act, 2019.

Invoices generated on the platform are tracking tools only. Vendors are solely responsible for collecting payment and managing their own GST compliance.

As a Vendor, you agree to:

• Accurately represent your services: Pricing, availability, and capabilities must be truthful.
• Maintain compliance: You are responsible for all permits and licences. Sequalize does not verify vendor licences and accepts no liability.
• Honour commitments: Once you accept a booking, you are bound by it.
• Proof of Work integrity: Proof of Work submissions must genuinely represent the work completed. False submissions are a material breach.
• Tax compliance: You are responsible for remitting all applicable taxes on your service income.

The AI Chief of Staff is a productivity tool, not a legal representative. It operates via Anthropic Claude and Google Gemini APIs.

By using the WhatsApp Agent or voice notes (which uses OpenAI Whisper for transcription), you consent to these automated communications and API processing.

When a Staff Member submits a Proof of Work photo, the Platform captures GPS coordinates at the time of submission. This is stored immutably with the record and is visible to the managing Vendor to support SLA accountability.

It is not used for continuous tracking or any other purpose. Submitting false location data constitutes fraudulent activity.

Reviews must be honest, first-hand accounts. They cannot be edited after 24 hours. Sequalize may remove reviews that contain defamatory content or violate Sections 499/500 of the IPC.

All Platform design, code, and AI architecture are the exclusive property of Sequalize Technologies (OPC) Pvt. Ltd. You grant Sequalize a non-exclusive licence to display Content you upload. You must ensure you have the rights to upload such content, including consent from individuals in your photos.

You may not: violate Indian law; attempt unauthorised access; scrape data; disable security features; impersonate others; send spam; submit fake reviews; manipulate ratings; or use the AI Agent for illegimate purposes.

Sequalize operates as a technology intermediary and is not a party to any commercial agreement between Vendors and clients. We are not liable for the quality of services, AI errors, or third-party outages.

Total Liability: Our aggregate liability shall not exceed the subscription fees you paid in the 3 months preceding the claim.
